3. Services Description

JTR Labs LLC provides computer systems design and related services, including but not limited to cloud infrastructure architecture, custom software development, data systems engineering, cybersecurity consulting, IT strategy, and DevOps automation. Each service engagement is governed by a separate Statement of Work or Service Level Agreement that defines the specific scope, deliverables, timeline, and fees. In the event of any conflict between these Terms of Service and a signed Statement of Work, the Statement of Work will prevail for the specific engagement.

4. Intellectual Property Rights

All intellectual property rights in the content, design, code, documentation, and materials on our website are owned by JTR Labs LLC or our licensors. Subject to full payment of all applicable fees, we grant you a non-exclusive, non-transferable, perpetual license to use the deliverables specifically created for you under a signed Statement of Work. You may not copy, modify, distribute, sell, or reverse engineer any of our proprietary tools, frameworks, or methodologies without our prior written consent. Our trademarks, service marks, and trade dress may not be used without our permission.

5. Client Responsibilities

As a client of JTR Labs LLC, you agree to the following responsibilities. You must provide accurate, complete, and timely information necessary for the performance of our services. You are responsible for maintaining the confidentiality of any login credentials, API keys, or access tokens provided to you. You must not use our services for any unlawful purpose or in violation of any applicable laws or regulations. You agree not to interfere with the security, integrity, or operation of our systems. You must promptly review deliverables and provide feedback within the timeframes specified in your Statement of Work. Failure to meet these responsibilities may result in delays or additional charges.

6. Fees and Payment

All fees for services are as set forth in the applicable Statement of Work or as quoted in a written proposal. Invoices are due within 30 days of the invoice date unless otherwise specified. Late payments may incur a finance charge of 1.5 percent per month on the outstanding balance. We reserve the right to suspend services or deliverables if payment is more than 30 days overdue. All fees are exclusive of applicable taxes, and you are responsible for paying all taxes, duties, and assessments imposed by any governmental authority in connection with your use of our services.

7. Project Timeline and Delays

Project timelines are estimated in good faith based on the scope provided at the start of an engagement. We will use reasonable efforts to meet all milestones and delivery dates. However, we are not liable for delays caused by factors outside our reasonable control, including but not limited to client delays in providing feedback or approvals, third party service disruptions, force majeure events, or unforeseen technical challenges. Any changes to scope may affect the timeline and will be addressed through a change order process.

8. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of an engagement. Confidential information includes business plans, technical specifications, source code, financial data, customer lists, trade secrets, and any other information that is clearly marked as confidential or that a reasonable person would understand to be confidential. Neither party will disclose confidential information to third parties without the other party written consent, except as required by law. This confidentiality obligation survives the termination of our agreement.

9. Warranties and Disclaimers

JTR Labs LLC warrants that our services will be performed in a professional and workmanlike manner in accordance with industry standards. We warrant that deliverables will conform to the specifications set forth in the applicable Statement of Work. Our website and services are provided on an as is and as available basis. To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or course of dealing. We do not warrant that our website or services will be uninterrupted, error free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by applicable law, JTR Labs LLC liability for any claim arising out of or relating to these terms or our services, whether in contract, tort, or otherwise, is limited to the total fees paid by you for the specific service giving rise to the claim during the 12 months preceding the event that gave rise to the liability. In no event shall JTR Labs LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or cost of substitute services, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless JTR Labs LLC, its officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, and expenses, including reasonable legal fees, arising out of or related to your use of our website or services, your violation of these Terms of Service, your violation of any rights of a third party, or any content or data you provide to us. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

12. Termination

Either party may terminate an engagement for convenience by providing 30 days written notice. Either party may terminate immediately if the other party breaches a material term of this agreement and fails to cure that breach within 15 days after receiving written notice. Upon termination, you must pay all fees due for services rendered up to the effective date of termination. Sections of these terms that by their nature should survive termination, including intellectual property, confidentiality, limitation of liability, and indemnification, will survive any termination.

13. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the State of Utah, without regard to its conflict of laws principles. Any dispute arising out of or relating to these terms or our services will be resolved exclusively in the state or federal courts located in Salt Lake County, Utah. You consent to the personal jurisdiction of these courts. Before initiating any legal proceeding, the parties agree to attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved within 30 days, either party may pursue formal legal remedies.

14. Entire Agreement

These Terms of Service, together with any applicable Statement of Work or Service Level Agreement, constitute the entire agreement between you and JTR Labs LLC regarding your use of our website and services. They supersede all prior or contemporaneous agreements, understandings, representations, and communications, whether written or oral. No modification of these terms will be effective unless in writing and signed by both parties. Any waiver of any provision of these terms will be effective only if in writing and signed by the waiving party.

15. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent as closely as possible. The failure to enforce any right or provision of these terms will not be deemed a waiver of such right or provision.

16. No Waiver

The failure of either party to enforce any provision of these Terms of Service will not be construed as a waiver of that provision or any other provision. A waiver of any breach will not constitute a waiver of any subsequent breach. All waivers must be in writing and signed by the party granting the waiver to be effective.

17. Force Majeure

Neither party will be liable for any failure or delay in performing its obligations under these terms if such failure or delay is caused by events beyond that party reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemic, internet service provider failures, power outages, or other unforeseen circumstances. The affected party will provide prompt notice of the force majeure event and use reasonable efforts to mitigate its impact and resume performance as soon as possible.
